Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Ligobyte LLC, doing business as SportsDJ (“SportsDJ,” “we,” “our,” or “us”) governing your access to and use of the SportsDJ application, website, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Please read Section 12 (Dispute Resolution) carefully, as it includes a mandatory arbitration clause and class action waiver that affect your legal rights.

1. Eligibility

You must be at least 18 years old and able to enter into a binding contract to create a SportsDJ account. The Service is not intended for use by children, and children do not create accounts. If you are creating an account on behalf of an organization (such as a team or league), you represent that you have authority to bind that organization to these Terms.

2. Description of the Service

SportsDJ provides tools for coaches, team administrators, league operators, and public address announcers (“Organizers”) to:

  • Maintain team rosters
  • Manage walk-up music, at-bat audio, goal celebrations, and similar in-venue audio cues
  • Generate and deliver announcements during games
  • Coordinate PA and scorekeeping workflows

The Service is designed to support in-venue game operations. It is not a social network, recruiting platform, or public player directory.

3. Accounts and Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete information when creating your account
  • Promptly update your account information if it changes
  • Notify us immediately at support@ligobyte.com if you suspect unauthorized access

We may suspend or terminate accounts that violate these Terms or are used in a manner that harms other users or the Service.

4. Player Data and Parental Consent Warranty

4.1 Your Responsibility When Entering Data About Minors

The Service allows Organizers to enter limited data about rostered players, including first name, last name, jersey number, position, and audio cue selections (“Player Data”). When players are minors, special legal requirements apply, including under the Children’s Online Privacy Protection Act (“COPPA”) and various state privacy laws.

By entering Player Data about any minor (a “Minor”) into the Service, you represent, warrant, and covenant that either:

(a) you are the parent or legal guardian of the Minor and consent to the collection, use, and display of the Minor’s Player Data as contemplated by these Terms and our Privacy Policy; or

(b) you have obtained verifiable parental or legal guardian consent from a parent or guardian of the Minor authorizing the use of the Minor’s first name, last name, jersey number, position, and audio cue selections for the purposes described in our Privacy Policy, including public address announcements during games and display within the Service to authorized Organizers.

You agree to maintain records of such consent and to provide proof of consent to SportsDJ upon request.

4.2 Scope of Required Consent

Consent obtained under Section 4.1(b) must, at a minimum, authorize:

  • Entry and storage of the Minor’s first name, last name, jersey number, position, and audio cue selections in the Service
  • Display of that information to Organizers on the Minor’s team
  • Use of that information for public address announcements during games the Minor plays in

Consent must be obtained from the parent or legal guardian. Consent from a coach, league, or other third party is not sufficient unless that party is itself the Minor’s legal guardian.

4.3 Heightened State Requirements

You are responsible for obtaining consent consistent with the law of the state where the Minor resides, which in some states extends to Minors under 16 or 18. See our Privacy Policy for details.

4.4 Withdrawal of Consent

If a parent or legal guardian withdraws consent, you agree to promptly remove the Minor’s Player Data from the Service, or to notify us at privacy@ligobyte.com so we can remove it.

4.5 Prohibited Data

You agree not to enter into the Service any of the following about any player, Minor or otherwise, absent a separate written agreement with SportsDJ:

  • Date of birth, home address, phone number, email address, or school
  • Photographs, video, or audio recordings of the player
  • Health, medical, or biometric information
  • Social security numbers or other government identifiers
  • Any information not reasonably necessary for in-venue announcements and roster management

4.6 SportsDJ Enforcement

If we become aware that Player Data about a Minor has been entered without the required consent, or that prohibited data has been entered, we may remove the data, suspend the relevant account, and take other action we deem appropriate. You agree to cooperate with reasonable requests for information regarding consent.

5. Acceptable Use

You agree not to:

  • Use the Service to harass, intimidate, or cause harm to any player, coach, official, or other person
  • Upload, select, or play audio content that is obscene, defamatory, harassing, or that infringes anyone’s intellectual property or privacy rights
  • Share, transfer, or otherwise make available to another user any audio or other content that you do not have the right to distribute
  • Circumvent any access controls, roster permissions, or security features of the Service
  • Use the Service to build or enhance any database of minors for recruiting, marketing, or commercial purposes outside the in-venue announcement use case
  • Reverse engineer, decompile, or attempt to extract source code of the Service
  • Use automated means (bots, scrapers) to access the Service except as expressly permitted
  • Resell or sublicense access to the Service without our written permission

6. Audio Content and Intellectual Property

6.1 Your Responsibility for Audio Selections

You are solely responsible for ensuring that any audio content you select, upload, or play through the Service (including walk-up songs, sound effects, and announcements) is used in compliance with applicable copyright and licensing laws, including any performance licenses required for public venues.

SportsDJ does not grant you any rights in music, sound recordings, or other third-party content. If the Service integrates with third-party music services (for example, Spotify or Apple Music), your use of those services is governed by those services’ own terms.

6.2 SportsDJ Intellectual Property

The Service, including its software, design, trademarks, and content we provide, is owned by SportsDJ and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms.

6.3 Your Content

You retain ownership of content you submit to the Service (including your roster information, custom audio uploads, sound files, and announcement text).

You grant SportsDJ a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display your content as necessary to operate and provide the Service. This license includes transmitting your content to other users when you direct us to do so — for example, when you share a sound group with another SportsDJ user. We do not make your content available to other users unless you initiate that share.

6.4 Sharing Content With Other Users

The Service allows you to share certain content — such as a set of sound groups and the audio files they reference — with other SportsDJ users you designate.

You are responsible for what you share. By sharing content, you represent that you have the right to distribute it to the recipients you select. Sharing does not transfer any rights you do not hold, and it does not grant the recipient any license from SportsDJ in third-party music or recordings.

Recipients are responsible for what they receive. Content you receive from another user is subject to the same obligations that apply to content you upload yourself, including Section 6.1.

How shared content is stored. Files you upload are stored under your own account. When you share content, recipients are granted access to your copy rather than receiving a duplicate, so one stored file may serve several recipients of the same share. We do not combine or deduplicate identical files across different users’ accounts. Access is always limited to users with an active share; identifying a file does not by itself grant access to it.

Retention. When you delete a share or your account, we remove your shares and your references to the content. A file may be retained after that point for as long as another user’s active share references it, and is deleted once no share references it.

Revocation. You may revoke a share at any time. Revocation prevents further downloads but does not recall content a recipient has already downloaded to their device.

6.5 Copyright Complaints (DMCA)

SportsDJ respects intellectual property rights and responds to notices of alleged copyright infringement under the Digital Millennium Copyright Act (“DMCA”), 17 U.S.C. § 512. Full details, including our designated agent and the required elements of an effective notice under 17 U.S.C. § 512(c)(3), counter-notification under § 512(g)(3), and our response process, are on our Copyright & DMCA page, which is incorporated into these Terms by reference.

Repeat infringers. In accordance with 17 U.S.C. § 512(i), we have adopted and will reasonably implement a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers. We record valid notices against the account that supplied the material. An account that accumulates repeated valid notices may lose sharing privileges and may be suspended or terminated.

Misrepresentation. Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing, or that material was removed or disabled by mistake, may be liable for damages, including costs and attorneys’ fees.

7. Subscriptions, Fees, and Refunds

Certain features of the Service require a paid subscription. Subscription terms, pricing, and billing cycles are presented at the point of purchase. Subscriptions renew automatically unless cancelled before the renewal date. Fees are non-refundable except as required by law or expressly stated in our refund policy.

We may change pricing with reasonable advance notice. Continued use of a paid feature after a pricing change constitutes acceptance of the new price.

8. Privacy

Our Privacy Policy describes how we collect, use, and protect information and is incorporated into these Terms by reference.

9. Termination

You may stop using the Service and delete your account at any time by contacting support@ligobyte.com or using the in-app account deletion option.

We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Service. On termination, Sections 4 (Player Data warranties for conduct occurring during the term), 6 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Dispute Resolution), and 13 (General) survive.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

Some jurisdictions do not allow the exclusion of certain warranties; to the extent such law applies, some or all of the above disclaimers may not apply to you.

11. Limitation of Liability

To the maximum extent permitted by law, SportsDJ and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

Our total cumulative liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid to us for the Service in the 12 months before the event giving rise to liability or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations of liability; to the extent such law applies, some or all of the above limitations may not apply to you.

11.1 Indemnification

You agree to indemnify, defend, and hold harmless SportsDJ from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your breach of these Terms, including the Player Data warranties in Section 4, (b) your violation of any law or the rights of a third party (including copyright claims related to audio content you select), and (c) your use of the Service.

12. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

Any dispute arising out of or related to these Terms or the Service will be resolved through final and binding individual arbitration, rather than in court, except that you may bring a claim in small claims court if it qualifies. Arbitration will be administered by JAMS under its applicable rules.

You and SportsDJ waive the right to a trial by jury and to participate in a class action against one another.

Claims must be brought in the parties’ individual capacities and not as a plaintiff or class member in any purported class or representative proceeding.

You have the right to opt out of arbitration within 30 days of first accepting these Terms by emailing legal@ligobyte.com with your name, account email, and a clear statement that you opt out.

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of laws principles. For any claim not subject to arbitration, you and SportsDJ agree to the exclusive jurisdiction of the state and federal courts located in Washington County, Minnesota.

13. General

  • Entire Agreement: These Terms, together with the Privacy Policy, are the entire agreement between you and SportsDJ regarding the Service.
  • Modifications: We may update these Terms from time to time. Material changes will be communicated by email or through the Service, and your continued use after the effective date constitutes acceptance.
  • No Waiver: Our failure to enforce a right or provision is not a waiver of that right or provision.
  • Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in effect.
  • Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
